• LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;
• COSTS OF SUBSTITUTE GOODS OR SERVICES; OR
• ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES,

EVEN IF EAST COAST WINGS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL EAST COAST WINGS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO EAST COAST WINGS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

9. Indemnification

You agree to defend, indemnify, and hold harmless East Coast Wings, its parent companies, subsidiaries, affiliates, officers, directors, shareholders, employees, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

To the extent that any dispute is subject to court adjudication, you agree to submit to the exclusive personal jurisdiction and venue of the federal and state courts located in the United States. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

These Terms are also subject to applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and any other applicable federal statutes and regulations governing food service businesses, online commerce, and consumer rights. Where applicable, users in California may have additional rights under the California Consumer Privacy Act (CCPA/CPRA), and other state-specific consumer protection laws may apply depending on your state of residence.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute informally. We will make reasonable efforts to respond within fifteen (15) business days and to work toward an amicable resolution within thirty (30) days of initial contact.

11.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, controversy, or claim arising out of or relating to these Terms, the breach or termination thereof, or your use of the Site or services shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time the arbitration is commenced, which rules are incorporated herein by reference. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST EAST COAST WINGS. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Exceptions to Arbitration

Notwithstanding the foregoing arbitration obligation, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the conclusion of arbitration. Additionally, claims that fall within the jurisdiction of small claims court may be brought in that court without resort to arbitration, provided the case remains in small claims court.

12. Term and Termination

East Coast Wings shall not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, labor disputes, government actions, power outages, internet disruptions, supply chain failures, or any other force majeure event. In such circumstances, East Coast Wings shall be excused from performance for the duration of the force majeure event and shall make reasonable efforts to resume normal operations as soon as practicable.
